In the modern economy there is a steady tendency to change the companies capital structure of various activity types in economically developed countries, which consists in the steady growth of intangible assets share and intellectual capital.
An important role in intellectual (infrastructural) capital is played by knowledge management systems designed to form, update and apply knowledge in order to maximize the effectiveness of the company's operations.
The purpose of the research: development of the organizational and economic mechanism for managing intellectual activity (knowledge) in the company's management system.

Result and Conclusions: The conception of "organizational capital" is clarified, by which is meant the results crop of intellectual activity and the infrastructure for supporting corporate activities; the main scientific approaches to the classification of organizational capital were analyzed and its structure was proposed.
The problems of managing organizational capital and the indirect nature of the organizational capital impact on the company's performance are revealed.
